The City Council of the City of Rolfe, Iowa, met at the City Hall, in Rolfe, Iowa, at 7:00 o’clock p.m., on July 18, 2005, pursuant to previous resolution and published notice. The meeting was called to order, the Mayor presided and the roll being called, the following named Council Members were present and absent:
Present: Johnson, Dreith, Braby, Thoren
Absent: Higgins.
The Mayor announced this was the time and place set for hearing and inspection of bids for the proposed Wastewater Treatment Lagoon Improvements and Sludge Removal Project.
Upon investigation, it was found that no persons had appeared and filed objections to the proposed plans, specifications, form of contract and estimate of cost of such Wastewater Treatment Lagoon Improvements and Sludge Removal Project as follows:
Council Member Johnson introduced the resolution next hereinafter set out and moved its adoption, seconded by Council Member Thoren; and after due consideration thereof by the Council, the Mayor put the question upon the motion and the roll being called, the following named Council Members voted:
Ayes: Johnson, Dreith, Braby, Thoren
Nays:
Absent: Higgins
Whereupon, the Mayor declared the said motion duly carried and the resolution adopted as follows:

RESOLUTION NO. 440
Finally approving and confirming plans, specifications, forms of contract and estimate of cost for the Wastewater Treatment Lagoon Improvements and Sludge Removal Project
WHEREAS, this Council has heretofore approved plans, specifications, forms of contract and estimate of cost for the proposed Wastewater Treatment Lagoon Improvements and Sludge Removal Project (the “Project”), as described in the resolution providing for a notice of hearing on proposed plans and specifications, proposed forms of contract and estimate of cost (the “Contract Documents”) and the taking of bids for the Project; and
WHEREAS, a hearing has been held on the Contract Documents;
NOW, THEREFORE, IT IS RESOLVED by the City Council of the City of Rolfe, Iowa, as follows:
Section 1. The Contract Documents referred to in the preamble hereof are hereby finally approved, and the prior action of the City Council approving them is hereby finally confirmed, and the Project, as provided for in the Contract Documents, is necessary and desirable.
Section 2. All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict.

The Mayor announced that bids for the construction of the Wastewater Treatment Lagoon Improvements and Sludge Removal Project had been received, opened and read by the City Council at 7 o’clock p.m., at the City Hall, on the 18th day of July, 2005, and that this was the time and place set for the consideration of such bids.
Thereupon, the City Council reported the results of the bidding, and the Project Engineers made their recommendations thereon to the Council. The bids received for the construction of the Wastewater Treatment Lagoon Improvements and Sludge Removal Project are as follows:

1. Removal of sludge in the two existing lagoon cells.

The City Council of the City of Rolfe, Iowa, met at the Rolfe Community Center in Rolfe, Iowa, at 7 o’clock p.m., on the 18th day of July, 2005, pursuant to adjournment and the rules of this Council. The meeting was called to order by the Mayor and the roll being called, there were present the following named Council Members:
Present: Johnson, Dreith, Braby, Thoren
Absent: Higgins.
The Council further considered proposals received for the proposed Wastewater Treatment Lagoon Improvements and Sludge Removal Project and embodied its findings in the resolution next hereinafter referred to.
Council Member Dreith introduced the resolution next hereinafter set out, and moved that the said resolution be adopted; seconded by Council Member Braby; and after due consideration thereof by the Council, the Mayor put the question upon the motion and the roll being called, the following named Council Members voted:
Ayes: Johnson, Dreith, Braby, Thoren
Nays:
Absent: Higgins
Whereupon, the Mayor declared the said motion duly carried and the said resolution duly adopted.
RESOLUTION NO. 441
Awarding contracts for the Wastewater Treatment Lagoon Improvements and Sludge Removal Project
WHEREAS, pursuant to notice duly published in the manner and form prescribed by resolution of this Council and as required by law, bids and proposals were received by this Council for the Wastewater Treatment Lagoon Improvements and Sludge Removal Project (the “Project”); and

WHEREAS, all of the said bids and proposals have been carefully considered, and it is necessary and advisable that provision be made for the award of the contracts for the Project;
NOW, THEREFORE, IT IS RESOLVED by the City Council of the City of Rolfe, Iowa, as follows:
Section 1. The bids for the Project submitted by the following contractors are fully responsive to the plans and specifications for the Project, heretofore approved by the City Council, and are the lowest responsible bids received, such bids being as follows:

Section 2. The contracts for the Project are hereby awarded to the contractors named in Section 1, at the respective total estimated costs set out above, the final settlement to be made on the basis of the unit prices therein set out and the actual final quantities of each class of materials furnished, the said contracts to be subject to the terms of the aforementioned resolution, the notice of hearing and letting, the plans and specifications and the terms of the bidders’ written proposals.
Section 3. The Mayor and City Clerk are hereby authorized and ordered to enter into written contracts with said contractors for the Project, said contracts not to be binding until approved by resolution of this Council.
Section 4. The amount of each contractor’s performance and/or payment bonds is hereby fixed and determined to be 100% of the amount of such contractor’s contract.
Section 5. All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict.

MINUTES TO SET DATE FOR HEARING ON ENTERING INTO A LOAN AND DISBURSEMENT AGREEMENT

The City Council of the City of Rolfe, Iowa, met on July 18, 2005, at 7 o’clock p.m., at the Rolfe Community Center, in the City. The Mayor presided and the roll was called showing the following members of the Council present and absent:

Council Member Joohnson introduced a resolution hereinafter next set out and moved its adoption, seconded by Council Member Dreith; and after due consideration thereof by the Council, the Mayor put the question upon the adoption of the said resolution and the roll being called, the following named Council Members voted:

Whereupon, the Mayor declared the resolution duly adopted as follows:
RESOLUTION NO. 442
To fix a date for a public hearing on a loan and disbursement agreement for a Sewer Improvement Project
WHEREAS, the City of Rolfe (the “City”), in the County of Pocahontas, State of Iowa, did heretofore establish a Municipal Sanitary Sewer System (the “Utility”) in and for the City which has continuously supplied sanitary sewer service in and to the City and its inhabitants since its establishment; and
WHEREAS, the management and control of the Utility are vested in the City Council (the “Council”) and no board of trustees exists for this purpose; and
WHEREAS, the City now proposes to enter into a loan and disbursement agreement (the “Agreement”) in a principal amount not to exceed $635,000 pursuant to the provisions of Section 384.24A of the Code of Iowa for the purpose of paying the cost, to that extent, of constructing improvements and extensions to the Utility, and it is necessary to fix a date of meeting of the Council at which it is proposed to take action to enter into the Agreement and to give notice thereof as required by such law;
NOW, THEREFORE, Be It Resolved by the City Council of the City of Rolfe, Iowa, as follows:
Section 1. This Council shall meet on the 11th day of August, 2005, at the Community Center, in the City, at 7 o’clock p.m., at which time and place a hearing will be held and proceedings will be instituted and action taken to enter into the Agreement.
Section 2. The City Clerk is hereby directed to give notice of the proposed action on the Agreement setting forth the amount and purpose thereof, the time when and place where the said meeting will be held, by publication at least once and not less than four nor more than twenty days before the meeting, in a legal newspaper which has a general circulation in the City. The notice shall be in substantially the following form:
NOTICE OF PROPOSED ACTION TO INSTITUTE
PROCEEDINGS TO ENTER INTO A LOAN AND DISBURSEMENT AGREEMENT IN A PRINCIPAL AMOUNT NOT TO EXCEED $635,000
(SEWER REVENUE)
The City Council of the City of Rolfe, Iowa, will meet on the 11th day of August, 2005, at the Community Center, in the City, at 7 o’clock p.m., for the purpose of instituting proceedings and taking action to enter into a loan and disbursement agreement (the “Agreement”) and borrow money in a principal amount not to exceed $635,000, for the purpose of paying the cost, to that extent, of constructing improvements and extensions to the Municipal Sanitary Sewer System.
The Agreement will not constitute a general obligation of the City, nor will it be payable in any manner by taxation but, together with any additional obligations of the City as may be hereafter issued and outstanding from time to time ranking on a parity therewith, will be payable solely and only from the Net Revenues of the Municipal Sanitary Sewer System of the City.

At the aforementioned time and place, oral or written objections may be filed or made to the proposal to enter into the Agreement. After receiving objections, the City may determine to enter into the Agreement, in which case, the decision will be final unless appealed to the District Court within fifteen (15) days thereafter.
